Terms of Service

Agreement to These Terms

These Terms of Service (“Terms”) are a legal agreement between you and LiveCity (“LiveCity,” “we,” “us,” or “our”) governing your access to and use of the LiveCity location-based social activity and event discovery application, related features, and our public website at livecityapp.com (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms work together with our Privacy Policy, which is incorporated by reference. The Privacy Policy describes how we collect, use, and share information. These Terms do not replace the Privacy Policy, and both documents apply to your use of the Service.

LiveCity helps people discover and coordinate real-world social activities. We provide tools for accounts, profiles, geographic discovery, creating and joining activities, invitations, friends, plans, notifications, event-related status content, location-enabled features, and Event Presence. We facilitate discovery and coordination; we do not organize, supervise, control, verify, or guarantee every user-created activity or participant.

Eligibility

You must be at least 13 years old to use the Service. If applicable law in your country or region requires a higher minimum age to use the Service or to enter into these Terms, you must meet that higher age requirement instead.

We do not verify your date of birth when you create an account. By using the Service, you represent that you meet the applicable minimum age. We have not implemented a parental consent workflow in LiveCity V1.

You may use the Service only if you can form a binding contract with us under applicable law and are not barred from using the Service. You are responsible for ensuring that your use complies with laws that apply to you.

Your Account

To use many features, you need an account. You agree to provide accurate, current account information and to keep it reasonably up to date. Usernames, email addresses, and other account fields are subject to product rules and restrictions (for example, format, uniqueness, or availability requirements).

You are responsible for activity that occurs under your account and for keeping your sign-in credentials confidential. Do not share your password or allow others to access your account. Notify us through Contact Us if you believe your account has been compromised.

You may not impersonate another person, misrepresent your affiliation, or use an account in a way that is misleading about who you are.

We may restrict, suspend, or terminate account access when we reasonably believe it is necessary because of abuse, safety concerns, security risks, legal requirements, or violations of these Terms. We do not guarantee advance notice in every situation.

The LiveCity Service

LiveCity V1 is a location-based social activity and event discovery application. Depending on how you use the Service and the settings you choose, you may be able to:

  • Create and maintain a profile.
  • Discover geographically relevant public activities and events.
  • Create public or private activities and manage activity details.
  • Join activities, send and receive invitations, and manage plans.
  • Maintain friend relationships and related social features.
  • Receive in-app and push notifications where enabled.
  • Create event-related status content, including photos and videos, with audience settings you select.
  • Use location-enabled functionality and Event Presence as described in these Terms and in our Privacy Policy.

Features may vary by platform, version, and account state. We may add, change, or remove features over time. LiveCity V1 does not include a finalized in-app payment or monetization system; if we introduce paid features in the future, additional terms may apply to those features.

Public and Private Activities

When you create an activity, you choose visibility settings that affect how it can be discovered and who can access it.

  • Public activities may be discoverable by other users through geographic discovery, maps, and related features, subject to how the Service works and any filters or settings in effect.
  • Private activities are access-restricted. Only people authorized under the Service’s rules (for example, through invitations or participation) can view or interact with them as permitted by the product.

You are responsible for choosing appropriate visibility for each activity and for the information you publish (including titles, descriptions, locations, times, and media). Changing visibility or sharing links outside the app may affect who can see your content.

No online service can promise absolute confidentiality or security. You should not rely on the Service as the sole safeguard for sensitive information you would not want others to see if visibility settings, sharing, or technical limitations were misused or circumvented.

Location and Event Presence

Location features depend on device permissions, in-app settings (including Location Sharing), and how you use the Service. Use of location information is also governed by our Privacy Policy.

Location Sharing

When you grant location permission and enable Location Sharing, LiveCity may use your device location to support geographic discovery and related features. You can change or disable Location Sharing and location permission on your device; some features may not work without location.

Event Presence

Event Presence is tied to a specific user-created activity or event. For eligible participants at an existing activity, the Service may use location to evaluate whether they are physically near that activity’s location, as described in the Privacy Policy.

Public Event Presence is designed as an event-level, sanitized signal (for example, on a map) rather than a public disclosure of individual users’ precise GPS coordinates or identities. Private activities and authorization rules in the Service limit what others can see. Event Presence does not replace your judgment about whether to attend or stay at an activity.

User Content

The Service may contain content you and other users create, including profiles, activities and event details, invitations and social interactions, event status photos and videos, and other user-generated material as features evolve (“User Content”).

Your ownership

As between you and LiveCity, you retain ownership of User Content you create, subject to the license below and the rights of others (for example, if your content includes someone else’s likeness or work).

License to LiveCity

You grant LiveCity a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, process, and make your User Content available solely to operate, provide, maintain, improve, and protect the Service — including according to the visibility, audience, and settings you select. This license does not transfer ownership of your User Content to LiveCity. The license continues for as long as your content is on the Service and as needed afterward for backups, legal compliance, dispute handling, and similar legitimate operational purposes, consistent with our Privacy Policy and retention practices.

Your responsibilities

You represent that you have the rights and permissions needed to post your User Content and to grant the license above. You are responsible for your User Content and for ensuring it complies with these Terms and applicable law.

Acceptable Use

You agree not to misuse the Service. For example, you must not:

  • Post or engage in conduct that is unlawful, infringing, fraudulent, abusive, threatening, exploitative, harassing, or otherwise harmful.
  • Misuse another person’s private or personal information without authorization.
  • Send spam or use the Service for unsolicited commercial messaging in violation of these Terms or applicable law.
  • Attempt to bypass security, access controls, or authorization rules; probe or scan systems without permission; or introduce malware or harmful code.
  • Scrape, harvest, or collect information from the Service through automated means except where we explicitly allow it.
  • Interfere with the Service’s operation or other users’ use of the Service.
  • Use the Service in a way that violates the rights of others or applicable law.

We may take action we reasonably consider necessary to address violations, including removing content or restricting access, as described under Suspension and Termination.

Organizers, Hosts, and Real-World Activities

Users who create or manage activities — including organizers and linked hosts where the product supports that role — are responsible for the information they publish and for the activities they organize or help run.

LiveCity does not employ organizers or hosts as agents for every activity listed in the app, and we do not enter into commercial host contracts with users through these Terms. Organizers and hosts are independent users who choose what to publish and whom to invite.

You are responsible for your own compliance with applicable laws, venue or property rules, permit requirements, capacity limits, and any other obligations that apply to an activity you organize or attend. LiveCity does not provide legal, safety, or event-management advice.

Safety and Interactions With Others

LiveCity is a discovery and coordination tool. Meeting people and attending activities in the real world involves risks you must evaluate for yourself.

We do not guarantee the identity, conduct, suitability, safety, legality, quality, accuracy, attendance, or existence of any user, activity, or participant. User profiles, activity descriptions, and attendance signals reflect what users submit and what the Service displays under its rules; we do not verify every claim.

You make your own decisions about whom to meet, which activities to attend, and what personal information to share. Use common sense, meet in appropriate settings when you choose to meet, and follow applicable laws and venue rules.

In an emergency, contact local emergency services or other appropriate authorities. LiveCity is not an emergency response service and cannot dispatch help to your location.

Intellectual Property

The Service — including our software, design, branding, logos, and other materials we provide (excluding User Content) — is owned by LiveCity or our licensors and is protected by intellectual property laws. These Terms do not grant you ownership of the Service or our materials.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use in the way the app and website are intended to operate.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Service or our materials except as allowed by law or with our prior written permission. “LiveCity” and related marks are our trademarks; do not use them without permission.

Privacy

Our Privacy Policy explains what information we collect, how we use and share it, and the choices available to you — including location, activities, Event Presence, notifications, and account data. By using the Service, you acknowledge that we will process information as described in the Privacy Policy, in addition to your obligations under these Terms.

Service Changes and Availability

We may modify, suspend, or discontinue parts of the Service at any time, including features, content, or availability in specific regions. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.

Maintenance, updates, network issues, third-party provider outages, and other factors may cause temporary unavailability. We do not promise permanent preservation of User Content; you should keep copies of anything important to you outside the Service.

Account Deletion

We plan to offer a way for you to request deletion of your LiveCity account as part of our V1 experience. That capability may not yet be available in the app at the time you read these Terms; when it launches, in-app or documented instructions will describe how to submit a request.

When account deletion is available, we intend it to work roughly as follows:

  • You may request deletion of your account through the process we provide.
  • Deletion may be blocked while you own active activities; those activities will need to be ended or canceled first.
  • We will delete or otherwise clean up applicable account, profile, and social data associated with your account, and delete your authentication account, subject to technical and legal limits.
  • Some information may be retained where we are required or permitted to keep it — for example, for legal compliance, security and fraud prevention, dispute handling, or other legitimate operational purposes.

Until self-service deletion is available, you may use the contact method in Contact Us below to ask about account-related requests. We will respond as our processes allow.

Suspension and Termination

You may stop using the Service at any time. You can also delete your account when that feature is available, as described above.

We may suspend or terminate your access to the Service, or remove User Content, if we reasonably believe it is necessary because you violated these Terms, engaged in unlawful conduct, posed an abuse or security threat, or we must do so to protect users, the Service, or to comply with law. We are not obligated to provide a specific appeal process or enforcement timeline.

Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification where applicable, and general provisions) will survive.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LIVECITY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will meet your requirements, that User Content or activity information will be accurate or reliable, or that defects will be corrected. Some jurisdictions do not allow certain disclaimer limitations; in those jurisdictions, our disclaimers apply to the maximum extent permitted by law, and you may have rights that cannot be waived.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LIVECITY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, USER CONTENT, REAL-WORLD ACTIVITIES, OR INTERACTIONS WITH OTHER USERS — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply only to the extent permitted by law, and you may have rights that cannot be limited or waived.

Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LiveCity and its affiliates, officers, directors, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your real-world activities or interactions with other users; (d) your violation of these Terms; or (e) your violation of applicable law or the rights of another person.

We may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense. This section does not require you to indemnify us for our own fraud, willful misconduct, or gross negligence where such indemnification is prohibited by law.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. If changes are material, we may provide additional notice (for example, in the app or on this website).

Your continued use of the Service after updated Terms are posted means you accept the updated Terms, to the extent permitted by law. If you do not agree to updated Terms, you must stop using the Service.

General Terms

These Terms, together with the Privacy Policy and any additional terms we present for specific features (if and when they apply), constitute the entire agreement between you and LiveCity regarding the Service and supersede prior agreements on that subject.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later.

You may not assign or transfer these Terms or your account without our consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets, or by operation of law.
